Website Terms of Service

These Website Terms of Service (the “Terms”) are a binding agreement between Pathshala Inc., a Virginia, United States corporation (“Pathshala”), and you (“you”). By visiting, browsing, registering an account on, or otherwise using the public Pathshala websites at pathshala.co, pathshalainc.com, app.pathshala.co, or any other Pathshala-operated marketing site (the “Site”), you accept these Terms. If you do not agree, do not use the Site.

These Terms cover use of the Site, including:

• browsing marketing, pricing, and product pages;
• submitting inquiry, contact, or scheduling forms;
• creating an individual user account (e.g., tutor profile, Career Center user, Network user);
• using the public AI chat and search features;
• downloading public resources (PDFs, study material previews).

If your Institute purchases Pathshala OS, the Master Services Agreement governs that Institute's use of the Service and supersedes these Terms for any conflicting subject matter as between Pathshala and the Institute. Personal data is governed by the Privacy Policy.

You may use the Site only if:

• you are at least 13 years old (or, where local law sets a higher age of digital consent, that age — for example 16 in many EEA countries and 18 in India under the DPDP Act for non-school use);
• you can form a legally binding contract under applicable law;
• you are not barred from using the Site under U.S. or other applicable law, including export-control and sanctions law.

If you are using the Site on behalf of an organisation, you represent that you are authorised to bind that organisation. Children under the applicable age may use Pathshala only through an Institute that has obtained appropriate parental or institutional consent under our Children's Privacy Notice.

When you create a Pathshala account that is not provisioned by an Institute, you agree to:

• provide accurate, current information;
• safeguard your password and not share your account;
• notify us promptly at security@pathshala.co of any unauthorised access; and
• be responsible for all activity under your account.

Pathshala may require email verification, multi-factor authentication, or identity verification for certain features.

You agree not to (and not to attempt to):

• use the Site to violate any law or regulation;
• impersonate any person or misrepresent your affiliation;
• scrape, crawl, or harvest data except via published APIs and within their rate limits;
• reverse-engineer, decompile, or disassemble the Site or any underlying software, except to the extent applicable law expressly permits;
• upload malware, exploit material, or content that infringes another's rights;
• harass, threaten, defame, or send unwanted communications to other users;
• cheat on assessments, share solutions, or otherwise undermine the integrity of educational assessments;
• use the AI features to generate harmful, illegal, or abusive content;
• interfere with the operation, security, or availability of the Site (DoS, credential stuffing, etc.);
• resell, sublicense, or otherwise commercialise the Site without our written consent.

You retain ownership of any text, images, files, or other material you submit to the Site (“Your Content”). You represent that you have all rights necessary to submit Your Content.

You grant Pathshala a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, transmit, process, transcode, cache, display, and otherwise use Your Content solely to operate and provide the Site to you and other authorised users. This licence terminates when the corresponding content is deleted in the ordinary course or on your written deletion request.

Pathshala, the Pathshala logo, Pathshala OS, Pathshala Academy, Pathshala Career Center, Pathshala Network, and related marks are trademarks of Pathshala Inc. The Site, its underlying software, and all original content (other than Your Content) are owned by Pathshala or its licensors and are protected by copyright, trademark, and other laws. Except as expressly permitted here, no rights are granted to you.

Parts of the Site use artificial-intelligence models to summarise content, draft suggestions, and answer questions. Outputs may be inaccurate, incomplete, or biased, and should not be relied on for medical, legal, financial, or safety-critical decisions. The Site may link to third-party websites and services (e.g., Cal.com, Stripe, LinkedIn). We do not endorse and are not responsible for the content or practices of those sites, and your use of them is governed by their own terms.

We may suspend or terminate your access to the Site at any time, with or without notice, for any breach of these Terms or the Acceptable Use Policy, for security reasons, or to comply with law. You may close your visitor account at any time by emailing privacy@pathshala.co. Sections that by their nature should survive termination (IP, disclaimers, limitation of liability, indemnification, governing law) survive.

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHSHALA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHSHALA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. PATHSHALA'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED USD $100, OR THE AMOUNT YOU PAID PATHSHALA FOR THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, IN WHICH CASE THEY APPLY TO THE EXTENT PERMITTED BY LAW.

You will defend, indemnify, and hold harmless Pathshala and its directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Site in breach of these Terms or applicable law; (b) Your Content; or (c) your violation of a third party's rights.

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflicts-of-law rules. The exclusive jurisdiction and venue for any dispute arising out of these Terms or the Site is the state or federal courts located in Loudoun County, Virginia, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in this section deprives you of any mandatory consumer-law protections in your country of residence.

We may update these Terms from time to time. The version identifier and effective date at the top of this page reflect the current version. Material changes will be announced at least thirty (30) days in advance by email to accounts with verified emails on file or by a prominent banner on the Site.
